1. Introduction

Welcome to CartEngage ("Company", "we", "our", "us"), a Shopify application operated by Vidushi Infotech.

These Terms of Service ("Terms") govern your use of the CartEngage Shopify application and associated services (the "Service"), which connects your Shopify store to our AI-powered abandoned-cart recovery platform.

By installing or using the Service, you acknowledge that you have read and understood these Terms, the Privacy Policy, and the Data Processing Addendum, and you agree to be bound by them.

2. Service Description

The Service provides:

  • Abandoned cart detection — real-time monitoring of Shopify checkouts/update and orders/create webhooks
  • AI voice recovery — automated outbound phone calls by AI voice agents (powered by Vapi and Twilio)
  • SMS messaging — automated follow-up messages (via Twilio)
  • Email campaigns (optional, where configured) — follow-up emails via merchant-configured SMTP
  • WhatsApp messaging — Phase 2, not yet active; will be added in a future release
  • Multi-channel analytics — recovery rates, revenue recovered, sentiment breakdown, call transcripts
  • Multi-store management — merchants can connect multiple Shopify stores to a single CartEngage account

By accessing the Service, you warrant that you are the store owner or have explicit authorization to install applications and manage data for the respective Shopify store.


3. Subscription Plans and Billing

Free Installation

The CartEngage Shopify app is free to install on any Shopify store. Installation connects the store, syncs basic data, and provides dashboard access.

Paid Plans

Advanced recovery features require a subscription. Current plans:

Yearly billing provides a discount equivalent to approximately 2 months free versus paying monthly.

  • Billing cycle — monthly or annual
  • Billing provider — Shopify Billing API (AppSubscription).
  • Currency — all plans billed in USD
  • Cancellation — Merchants may cancel at any time by uninstalling the app in Shopify admin or contacting support. No further charges after cancellation; existing period continues until its natural end.
  • Refunds — subject to a 30-day review period. Submit to support@vidushiinfotech.com with justification.
  • Free tier — always available; no credit card required for the Free plan.

Plan Enforcement

When a plan's limit is reached (stores, agents, minutes), the Service will refuse the limit-exceeding action with a PLAN_LIMIT_EXCEEDED response and a link to upgrade.


4. Merchant Responsibilities

4.1 Communications Compliance

As a merchant using CartEngage to contact your customers:

  • You are solely responsible for ensuring messages (voice, SMS, email, WhatsApp) sent via the Service comply with all applicable laws, including but not limited to:
  • TCPA — Telephone Consumer Protection Act (United States)
  • GDPR — General Data Protection Regulation (European Union / UK)
  • CCPA / CPRA — California Consumer Privacy Act (California, USA)
  • CASL — Canadian Anti-Spam Legislation
  • PECR — Privacy and Electronic Communications Regulations (United Kingdom)
  • DNC registries — respect national Do Not Call registries in your market
  • Consent — you must have lawful basis (e.g., explicit opt-in) to trigger automated recovery communications
  • Recording disclosures — in two-party consent jurisdictions, you must configure the AI agent's opening script to include a recording disclosure where required

4.2 Do-Not-Call List Management

  • The Service provides a DNC list (per store) and automatic auto-add on customer negative outcomes (e.g., not_interested, dnc_requested, opted_out)
  • You must not override, bypass, or tamper with the DNC enforcement
  • Opt-out requests must be honored immediately; our system enforces this automatically via the dispatcher's pre-call DNC check

4.3 Data Accuracy

  • You are responsible for ensuring customer data in your Shopify store is accurate
  • We sync data as provided by Shopify's API — we do not independently verify phone numbers or email addresses

4.4 Prohibited Uses

You may use the Service only for lawful purposes. You agree NOT to:

  • Send messages to customers who have not given opt-in consent where required by law
  • Use the Service to transmit spam, chain letters, or junk communications
  • Contact customers on national Do Not Call registries without lawful exemption
  • Exploit, harm, or harass any individual through the Service
  • Attempt to disable, overburden, or damage our infrastructure or Shopify's infrastructure
  • Use the Service in violation of applicable law or regulation
  • Reverse-engineer, decompile, or extract source code
  • Resell or sublicense the Service without prior written consent

5. Intellectual Property

The Service, including its original software, AI prompts, models, features, dashboard, documentation, and proprietary algorithms, is the exclusive property of Vidushi Infotech. Our trademarks, code, and technology may not be used, copied, modified, or distributed without prior written consent.

Third-party components are licensed to us by their respective owners (Shopify, Vapi, Twilio, OpenAI, etc.) and carry their own license terms.


6. Data Handling Summary

  • CartEngage acts as a Data Processor — the Merchant is the Data Controller
  • We process customer data solely on the Merchant's documented instructions and for the purpose of providing the Service
  • Upon app uninstallation, we delete all store + customer data within 48 hours per Shopify's mandatory shop/redact timeline
  • Full detail is in our Privacy Policy and Data Protection Addendum

7. Third-Party Services & Sub-processors

The Service integrates with the following third-party platforms. Your use of the Service requires acceptance of each platform's own Terms:

You acknowledge that these services are not controlled by Vidushi Infotech and we are not responsible for their availability or performance. Any direct agreement between you and any third-party service is solely between you and them.


8. Service Availability

  • We target 99.9% monthly uptime excluding scheduled maintenance windows
  • Scheduled maintenance will be communicated at least 24 hours in advance when possible via in-dashboard notice and/or email
  • We are not liable for outages caused by Shopify API downtime, Twilio outages, Vapi outages, or other third-party dependencies outside our direct control

9. Disclaimer of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VIDUSHI INFOTECH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Recovery success rates or conversion rates
  • Revenue amounts that may be recovered
  • Continuous, uninterrupted, or error-free operation
  • Accuracy of AI transcription, sentiment analysis, or outcome classification
  • Compatibility with future Shopify or Vapi API versions

10. Limitation of Liability

To the maximum extent permitted by applicable law, Vidushi Infotech, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, business, or revenue — resulting from:

  • Your use or inability to use the Service
  • Any third-party conduct on the Service
  • Unauthorized access to data
  • Failure of AI agents to complete calls, deliver SMS, or achieve recovery
  • Compliance violations resulting from the Merchant's failure to obtain proper customer consent or configure DNC and consent mechanisms

Our total aggregate liability under these Terms shall not exceed the amount paid by you to Vidushi Infotech for the Service in the twelve (12) months preceding the event giving rise to the claim.


11. Indemnification

You agree to indemnify and hold harmless Vidushi Infotech, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your failure to obtain proper customer consent for communications
  • Your violation of applicable law or regulation, including TCPA, GDPR, CCPA, CASL, PECR
  • Any dispute between you and your customers regarding recovery communications or AI calls

12. Termination

  • By you — you may terminate these Terms and the Service at any time by uninstalling the CartEngage app from your Shopify admin
  • By us — we may suspend or terminate your access immediately and without prior notice for material breach of these Terms, suspected abuse, or non-payment
  • Effect of termination — upon termination, your rights to use the Service cease immediately; data deletion proceeds per the Privacy Policy retention schedule (48-hour shop/redact timeline for End User data; 7-year retention for billing records for tax/audit purposes)

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the courts of Pune, Maharashtra, India, and both parties consent to such jurisdiction.

For international merchants: where local mandatory consumer-protection laws grant you rights that cannot be waived by contract, those rights apply in addition to the protections set out here.


14. Shopify-Specific Provisions

  • Your use of the Service via Shopify is additionally governed by Shopify's Terms of Service and the Shopify Partner Program Agreement
  • You grant us the right to access and process your Shopify store data solely to deliver the Service, subject to the scopes you approved during OAuth install
  • You may revoke our access at any time by uninstalling the app, which triggers our mandatory data deletion per Section 6

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by:

  • Updating the Last Updated date at the top
  • Posting a notice in the CartEngage dashboard
  • Emailing the Merchant's registered contact address for significant changes

Your continued use of the Service after changes take effect constitutes acceptance.
